Dear Members,
At the AGM, which was held in March, members who attended the online session or sent notices of proxy, chose to vote for Special resolution 2, which kept the Al-Kindi as a Company limited by Guarantee and amends (replaces) the Articles of Association and the Objects with a version that removes references to “Charity” and brings the Al-Kindi focus back towards benefits to members and the engineering community.
The AGM appointed Dr Ali AlBadri to the role of President with four additional members to the Management Committee. The AGM provided the option for the new Management Committee to self-organise in terms of roles and responsibilities, provided a minimum of 2 directors are selected from within the group including the president.
At the Management Committee’s first meeting held on the 2nd of April 2022, the Management committee agreed the following roles and responsibilities:

Secretary of Al-Kindi Society of Engineers أمين سر جمعية الكندي للمهندسين - Eng. Kadhum AlSarraj
Chair of the Media and Publications Committee رئيس لجنة النشر والإعلام - Eng. Widad Oumar
Chair of the Membership and Cultural Activities Committee رئيسة لجنة النشاط الثقافي و العضوية - Dr Zaki Al-Tamimi (Company Director)
Chair of the Technical Activities Committee رئيس لجنة النشاط الهندسي و العلمي
The management committee approved the budget proposal for 2022 and the appointment of directors with companies house.
The Special resolution of members to amend / replace the article of association has been submitted to companies house and acceptance has been received. Members will have the opportunity to review and table amendments to the articles of association at the next AGM in 2023.
With this we close a chapter of various attempts at charity registration and continue the journey towards a professional learned society of engineers.
